知的財産権・ノウハウ・データの企業間取引に関する実態調査

公正取引委員会は2026年2月27日、知的財産権の取引適正化に向けた「知的財産権・ノウハウ・データの企業間取引に関する実態調査」の結果を公表しました。
この調査は2025年9月に、91業種4万社（回答6,973社）を対象に実施されたものです。
知財等を保有する企業のうち、15.8%（603社）が「納得できない取引条件を受け入れた経験がある」と回答しました。また、知財等の取り扱いを確認する専門家や担当者がいない事業者が、回答企業の約半数に達しているということです。
今後は、2026年3月中旬に、調査結果を踏まえた報告書と指針（ガイドライン）案が策定され、指針案についてのパブリックコメントを実施したうえで、2026年6月下旬に中小企業庁・特許庁と連携し取引適正化のための新指針を策定・公表予定とのこと。

Survey on Business-to-Business Transactions Involving Intellectual Property Rights, Know-how, and Data
On February 27, 2026, the Japan Fair Trade Commission (JFTC) published the results of a “Survey on Business-to-Business Transactions Involving Intellectual Property Rights, Know-how, and Data,” conducted with the aim of ensuring fair transactions related to intellectual property.
The survey was carried out in September 2025 and targeted 40,000 companies across 91 industries, from which 6,973 responses were obtained.
Among companies that possess intellectual property and related assets, 15.8% (603 companies) responded that they had experienced accepting transaction terms they considered unreasonable. In addition, approximately half of the responding companies reported that they do not have specialists or dedicated personnel to verify the handling of intellectual property and related assets.
Going forward, in mid-March 2026, a report and a draft set of guidelines based on the survey results are expected to be formulated. After conducting a public comment process on the draft guidelines, the JFTC plans to establish and publish new guidelines for fair transactions in late June 2026, in cooperation with the Small and Medium Enterprise Agency and the Japan Patent Office.
