AIの利用・開発に関する契約チェックリスト

経済産業省は2025年2月18日、「AIの利用・開発に関する契約チェックリスト」を取りまとめ、公表しました。このチェックリストは生成AIの急速な普及に伴い、AIの利活用に関する契約の重要性が高まっていることから、当事者間の適切な利益およびリスクの分配を促進し、AIの利活用を推進することを目的としています。
AI利活用の実務経験は問わず、幅広い読者を念頭に置いていて、主に、(1)社内法務部・顧問弁護士等が契約条項を具体的に検討する場面、及び、(2)ビジネス部門担当者等が契約についての初期的な検討を行う場面を想定しています。
生成AIの活用を推進しなければいけない情報システム部門、法務部門が、生成AIの活用にブレーキをかけている会社が多い中で、少しでもアクセルを踏みたいと考えている人は、このチェックリストをよく勉強しておいた方が良いでしょう。

Contract Checklist for AI Utilization and Development
 
On February 18, 2025, the Ministry of Economy, Trade and Industry (METI) compiled and published the "Contract Checklist for AI Utilization and Development." Given the rapid proliferation of generative AI, the importance of contracts related to AI utilization has increased. This checklist aims to promote the appropriate distribution of benefits and risks between parties and facilitate AI utilization.
The checklist is designed for a wide range of readers, regardless of their experience in AI utilization. It primarily envisions two scenarios:

1. Situations where in-house legal departments or legal advisors carefully examine contract clauses.
2. Situations where business department personnel conduct an initial review of contracts.

In many companies, while information systems and legal departments are expected to promote the use of generative AI, they often end up slowing down its adoption. Those who wish to accelerate AI utilization should thoroughly study this checklist.
