知財管理2024年5月号「新規上場企業の有価証券報告書に見る 知財のガバナンスの概観」では、2022年の新規上場企業の有価証券報告書を対象に、知財キーワードを使用した企業の割合や，その使用態様を分析しています。コーポレートガバナンス・コードの改訂や知財・無形資産の投資・活用戦略の開示及びガバナンスに関するガイドラインの浸透レベルを把握する一つの指標かもしれません。

新規上場企業の有価証券報告書に見る 知財のガバナンスの概観

抄録       　近年「コーポレートガバナンス・コード」の改訂や「知財・無形資産の投資・活用戦略の開示及びガバナンスに関するガイドライン」の策定・公開など、知財に関する適切な情報開示を求める動きが活発になってきている。これらへの対応動向を把握するため、本稿では、2022年の新規上場企業の有価証券報告書を対象に、本稿で定義した知財キーワードを使用した企業の割合や、その使用態様を分析した。新規上場企業91社の約9割が、1つ以上の知財キーワード用いて報告書を作成しており、キーワード別では、「知的財産」が76％、「商標」が52％、「特許」が43％であった。対象期間を2分割すると、後半に大きな使用率の上昇が見られた。また使用態様としては、「第2「事業の状況」」の中の「2．事業等のリスク」において、知財に関するリスクを挙げる記載が多数確認された。その他、上述のガバナンス・コードやガイドラインに適合しうると考えられる特徴的な使用態様も確認できた。
 
 
Overview of Intellectual Property Governance in Securities Reports of Newly Listed Companies
In the May 2024 issue of "Intellectual Property Management," the article "Overview of Intellectual Property Governance in Securities Reports of Newly Listed Companies" analyzes the securities reports of companies newly listed in 2022. It examines the proportion of companies that use intellectual property-related keywords and how these keywords are used. This analysis could serve as an indicator to understand the penetration level of the revised Corporate Governance Code, as well as the disclosure and governance of investment and utilization strategies for intellectual property and intangible assets.
